Participant Terms & Conditions

Kapital Media London Limited (“Kapital Media”, “we”, “our”, and “us”) is a company registered in England and Wales with registration number 10593198 and registered office at 239-241 Kennington Lane, London, SE11 5QU, United Kingdom. These terms and conditions (the “Terms”) apply to all individuals or company representatives who are willing to attend and/or participate (the “Participant”) at a MediaCat event (the “Event”) organised by Kapital Media and constitute a binding contract between Kapital Media and the Participant.

Wherever the singular is used in these Terms, the same shall be construed as meaning the plural if the context requires, unless otherwise specifically stated.

1. Booking Process and Event Admission
1.1. In order to participate in the Event, the Participant must place an online order through the registration form which is accessible through the Event’s webpage (“Event Page“) and purchase a ticket.
1.2. By registering for the Event agreeing to purchase a ticket, the Participant agrees to be bound by these Terms.
1.3. The Participant accepts and acknowledges that successful ticket bookings are subject to availability of the Event and the full payment of the relevant registration fee indicated in Section 2 below.
1.4. The Participant shall provide Kapital Media with the most recent and accurate information when registering for the Event. In case there are any changes to the information provided by the Participant to Kapital Media, the Participant shall immediately update Kapital Media about any changes to that information.
1.5. Any purchased ticket is to be used by the named and registered Participant only. The Participant cannot sell or transfer in any way the ticket assigned to her/his name, subject to Section 9.2 below.
1.6. Kapital Media shall not be responsible for the Participant’s travel and accommodation expenses.

2. Fees and Payment
2.1. Registration fees are set out in the relevant section of the Event Page and/or the registration form.
2.2. The Participant understands and accepts that the registration fees indicated on the Event Page and/or the registration form may be subject to change.
2.3. Payment of the applicable registration fee is due upon registration.
2.4. Payments must be completed online as indicated on the Event Page and/or registration form.
2.5. From time to time, Kapital Media may offer discounts for the registraton fees. Any discounts apply to new bookings and are subject to availability which is at Kapital Media’s discretion.

3. Responsibilities of the Participant
3.1. The Participant is solely responsible for their behaviour during the Event, and they agree to comply with all applicable laws and regulations, and with the rules and regulations of the event venue.
3.2. The Participant accepts and undertakes to comply with any instructions given by the Event staff, including the security personnel of the event venue.
3.3. To the maximum extent permitted by law, the Participant agrees and accepts that Kapital Media is not liable for any loss, injury or damage to any person or property.

4. Changes to the Event
4.1. Kapital Media reserves the right to make changes to the Event program, including the title, theme, content, program, agenda, speakers, performers, hosts, moderators, venue, time, and activities, at any time and without prior notice.
4.2. Kapital Media will endeavour to inform the Participant of any significant changes through the Event Page as soon as practicable.

5. Intellectual Property and Recordings
5.1. All intellectual property rights in the Event materials, including the presentations, handouts, and other materials provided to the Participant before, after, or during the Event, are the property of Kapital Media and/or its licensors, or the speakers or sponsors of the Event.
5.2. The Participant may not reproduce, distribute, or otherwise use any of the Event materials without Kapital Media’s prior written consent.
5.3. During the Event, Kapital Media or its assignees may make audio, video, or photographic recordings of the Event sessions, and may use such recordings in editorial features and/or for promotional, marketing, or other purposes. By attending the Event, the Participant grants Kapital Media a worldwide, perpetual, royalty-free license to use the Participant’s image, voice, and likeness in such recordings.

6. Limitation of Liability
6.1. To the maximum extent permitted by law, Kapital Media and its affiliates, officers, directors, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of, or in connection with the Participant’s participation in the Event.
6.2. Except as expressly stated in these Terms, Kapital Media does not make any express or implied warranty or representation in connection with the Event.
6.3. The Participant accepts and agrees that the Participant’s access to the Event and their use of any content provided in relation to the Event is at the sole risk and responsibility of the Participant and that all related content is provided “as is” and “as available”. Any related content is made available for the Participant’s general information, and any advice, opinion, statement or other information forming part of any content related with the Event is not intended to address the Participant’s particular requirement and does not constitute any form of advice, recommendation or arrangement by Kapital Media and is not intended to be relied upon by users in making or refraining from making any specific investment or other business decisions.
6.4. Kapital Media is not liable for any advice, speech, expression or any communication made by the speakers of the Event.
6.5. To the maximum extent permitted by law, Kapital Media shall not be liable, whether based on a claim in contract, tort (including negligence), breach of statutory duty or otherwise arising out of or in relation to these Terms, for any indirect or consequential losses.

7. Privacy & Data Protection
7.1. Kapital Media will collect and process the Participant’s personal data in accordance with the Privacy Policy of Kapital Media, which is available through the Event Page and/or registration form.
7.2. By registering for the Event, the Participant consents to Kapital Media’s use of their personal data as described in Kapital Media’s Privacy Policy.
7.3. As indicated in Section 5.3. above, during the Event, Kapital Media or its assignees may make audio, video, or photographic recordings of the Event sessions, and may use such recordings in editorial features and/or for promotional, marketing, or other purposes. By attending the Event, the Participant grants Kapital Media a worldwide, perpetual, royalty-free license to use the Participant’s image, voice, and likeness in such recordings and consent to being in such recordings.

8. Force Majeure
8.1. “Force Majeure” means circumstances which are beyond Kapital Media’s reasonable control and which are reasonably likely to affect the successful delivery of the Event or would make it inadvisable, impracticable, illegal, or impossible for Kapital Media to host the Event or perform Kapital Media’s obligations under these Terms.
8.2. Kapital Media shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by events beyond its reasonable control, including, without limitation, acts of God, war, terrorism, natural disasters, global epidemics, system and infrastructure related outages.
8.3. Without prejudice to Kapital Media’s obligation to refund any fees to the Participant in other events, Kapital Media accepts no liability and shall pay no compensation where the performance of its obligations is made impracticable, illegal or impossible by or as a result of Force Majeure.

9. Cancellation Policy and Refund Conditions
9.1. Kapital Media reserves the right to cancel the Event for any reason at any time. In case the Event is cancelled due to events that are not caused by force majeure as indicated in Section 8 above, any registration fees paid by the Participant will be refunded.
9.2. In case the Participant wishes to seek for substitution, they must notify Kapital Media in writing at least one week prior to the Event. Substitutions may be available in these cases subject to Kapital Media’s availability. The Participant accepts and agrees that any substitution is at Kapital Media’s sole discretion.
9.3. In case of other cancellations by the Participant, the following refund policies apply:
9.3.1. If the Participant cancels their participation more than two weeks prior to the Event, Kapital Media will refund the Participant 100% of the registration fee minus administrative fees.
9.3.2. If the Participant cancels within 2 weeks prior to the Event, no refund will be provided.

10. Entire Agreement
These Terms together with the Privacy Policy and any ancillary event terms, application or registration form (where relevant) constitute the entire agreement and understanding between the Participant and Kapital Media regarding the Participant’s participation in the Event, and supersedes all previous or contemporaneous communications, terms, proposals and discussions, whether oral, written, or electronic, between the Participant and Kapital Media with respect to the Event.

11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales and the English courts shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

12. Waiver and Severability
12.1. The failure of Kapital Media to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
12.2. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.

13. Assignment
13.1. The Participant may not assign or transfer these Terms or any of the Participant’s rights or obligations hereunder without Kapital Media’s prior written consent.
13.2. Kapital Media may assign these Terms or any of its rights or obligations hereunder without the Participant’s consent.

14. Notices
Any notices or other communications required or permitted to be given under these Terms shall be in writing and shall be deemed to have been given if delivered by email or certified mail, return receipt requested, to the addresses specified in the Participant’s registration form or to such other address as the Participant may notify Kapital Media in writing.

By registering for the Event, the Participant acknowledges that they have read and understood these Terms and agree to be bound by its terms and conditions.
